With the high autumn sky and refreshing air, and pleasant scenery, the 122nd Nanning Innovation and Entrepreneurship Alliance · Yongcheng Innovation Exchange—"Legal Risk Avoidance in Enterprise Employment and Business Contracts" special training session, hosted by the Nanning Innovation and Entrepreneurship Alliance, organized by Nanning Zhongguancun Information Valley Technology Service Co., Ltd., and co-organized by Guangxi Tongwang Law Firm and Guangxi Tongwang Intellectual Property Agency Co., Ltd., was successfully held on October 21, 2020, at Information Cabin, Building 5, Nanning • Zhongguancun Innovation Demonstration Base (Mingyue Lake Area).
This special training session is mainly for the enterprises stationed in Nanning • Zhongguancun Innovation Demonstration Base and the business-related enterprises of Guangxi Tongwang Law Firm and Guangxi Tongwang Intellectual Property Agency Co., Ltd. It is lectured by Zhang Xiangyu, partner and director of the Intellectual Property Legal Affairs Department of Guangxi Tongwang Law Firm, aiming to further improve the awareness of risk prevention in enterprise employment and business contracts, help enterprises understand the legal knowledge of labor employment and contracts under the background of the Civil Code, and enhance enterprises' ability to cope with legal risks.
The content of this special training session is mainly divided into three sections: the meaning of contracts, common types of business contracts and legal risk avoidance, and legal risk avoidance in enterprise employment.
When a contract is signed under the circumstances of equality, good faith, and voluntariness, the contract shall be binding on both parties. By signing a contract, both parties in business activities can foresee risks, formulate risk prevention measures and dispute resolution methods, so that both parties have evidence to follow and laws to abide by during future cooperation.
"Contract" occupies a fundamental position in the market economy and business activities. Regarding the "meaning of contract" section, Zhang Xiangyu introduced the definition of contract, contract form, contract termination, contract revocation, contract invalidity and other basic contract law principles to the guests, combining the new regulations of the Civil Code and the cases he handled. He also focused on analyzing contract types such as "contracts in the name of sales but in fact loans" and "retention of ownership sales contracts", explaining to the guests that contracts are particularly important in economic activities and are the primary evidence material in all civil and commercial cases.
In terms of legal risk avoidance in enterprise employment, Zhang Xiangyu put forward his own suggestion: "Employers should not deal with labor employment issues with the thinking of contract law, because labor contracts are fundamentally different from civil and commercial contracts. Labor law has the nature of quasi-administrative management and is closer to the category of economic management."
After the lecture, the on-site enterprise representatives also exchanged ideas with lawyer Zhang Xiangyu on other topics related to enterprise employment and business contracts.
