Serving the People: Lawyer Lin Ziguang Invited to Lecture on Contract Law under the Civil Code at Guangxi Beibu Gulf Investment Group Co., Ltd.

On the afternoon of August 30, 2021, Lin Ziguang, Deputy Director of Guangxi Tongwang Law Firm, was invited to give a special lecture on "How Enterprises Can Prevent Legal Risks in the Process of Signing and Performing Contracts in the Era of the Civil Code" for Guangxi Beibu Gulf Investment Group Co., Ltd. (hereinafter referred to as "Beibu Gulf Highway Group"). Relevant leaders and business backbones of Beibu Gulf Highway Group and its subsidiaries participated in the lecture.
The contract system is the basic legal system of the market economy and is closely related to daily production and life. The contract part of the Civil Code fully considers the new changes in social and economic production and life and makes amendments and adjustments on the basis of the original Contract Law. Lawyer Lin Ziguang focused on how enterprises can prevent legal risks in the process of signing and performing contracts in the era of the Civil Code from two aspects: legal risk prevention and major changes in the contract part of the Civil Code.
In terms of legal risk prevention, Lin Ziguang focused on eleven aspects including the subject of the contract, payment time and method, contract period, tax rate and invoice, rights and obligations, and liability for breach of contract. Combining relevant cases, he pointed out common misunderstandings in contract understanding and analyzed the significant impact of relevant new regulations on enterprises' signing and performance of contracts from multiple perspectives and levels. Then, he put forward specific suggestions on how enterprises can strengthen contract management and minimize legal risks.
In terms of the major changes in the contract part of the Civil Code, Lin Ziguang took the general rules of the contract part as the entry point and elaborated on the changes in contract conclusion, contract termination, and liability for breach of contract, and made a key interpretation using sales contracts as an example.
As the first law named "Code" since the founding of New China, the Civil Code is a summary, review, and upgrade of the achievements of China's civil legal system construction. Actively promoting the implementation and accurate application of the Civil Code can transform the rights and obligations norms on paper into real-world rules of conduct. This lecture enabled the participants to further deepen their understanding of contract risk prevention in the era of the Civil Code and provided new ideas for the standardized operation and stable and healthy development of enterprises.
